Sure this all makes sense.
However, keep in mind that when the deal was made, the Fiserv/First Data CEO who was the architect
of both the original and new deal with us was Frank Bisignano.
And I believe he pushed this new deal with us to be highly confident we would not be leaving per our
contract. In other words, let Fiserv take the risk as we would be stuck.
This does not mean it was a good deal for Fiserv. It just means he was betting they would be fine
given our terms.
Just good to keep in mind with our strategy. Frank is not an idiot.

I wanted to follow up on a discussion we had a while back regarding the future of CardConnect and
Shift4. As you know, CardConnect plays a pivotal role in the gateway and payment processing strategy
for Shift4. I am writing you today to see if we can work together to make some changes to the current
agreement. My hope is that we can create substantial value for both organizations and I am very open
to all ideas.

I would like to propose the following to kick off our conversation:

1.  Extended Term: In exchange for an extension to the term of the Agreement, we are seeking
    various economic and operational improvements to better align with our current business.

2.  One-Time Payment: We are open to discussing a one-time payment from CardConnect to
    Shift4 in order to incentivize an extension of the Agreement and a mutually beneficial
    restructuring of various provisions, including exclusivity (as discussed below).

3.  Exclusivity: We would like to modify the exclusivity terms of the Agreement to allow
    CardConnect to pursue independent growth opportunities.

4.  Simplification: We are seeking opportunities to simplify the Agreement from a pricing and
