Specifically, CardConnect has materially breached its obligations under the Agreement in the following respects:

  • CardConnect has failed to deliver compliant EMV solutions, including P2PE certification, on multiple terminal platforms resulting in significant financial damages exceeding $10M to Shift4, lost business, countless penalty assessments imposed by the card brands on our customers and immeasurable reputational harm.

  • CardConnect has initiated direct, and competitive, sales efforts within the software community served by Shift4 and in violation of the non-solicitation obligations of the Agreement despite our repeated efforts to address the activity.

  • CardConnect has failed to support boarded merchants in accordance with the service level requirements of the Agreement resulting in frequent merchant escalations to Shift4.

I have included an attachment to provide additional information in support of our position that CardConnect has materially breached the Agreement.

At present, Shift4 is pursuing support with other payment processors who have the ability to deliver compliant EMV solutions, immediately cease competitive sales efforts within our software community and meet minimum service levels. These initiatives should not come as a surprise considering we have documented these issues in communications dating back to early 2017 and more recent executive escalations (documented) with Frank, Barry, Chris and Himanshu in the last month.

We are in the unfortunate position that for every month that passes while CardConnect fails to meet its obligations, we will continue to incur significant damages and jeopardize an increasing number of merchant relationships. We will share our assessment of total damages in a follow-up communication.

Good morning. I wanted to follow up on my email from last week and provide additional detail in support of the damages Shift4 has incurred as a result of CardConnect's failure to provide certified EMV and P2PE solutions.

We have been in constant communication with CardConnect (Rob O'Malley, Sam Beninga, etc.) and First Data management (Frank Bisignano, Barry McCarthy, Himanshu Patel) regarding our EMV concerns since Q1 2017, so this correspondence should not come as a surprise.

CardConnect's EMV certifications did not begin until late Q4'16 - Q1'17, which was at least 18 months after most of our competitors and the liability shift deadline. Still, despite the late start, only the Ingenico iPP series has been certified for EMV to date. Our customers have communicated that the iPP product line is not a viable solution as the hardware is intended for low-volume, attended environments only (e.g. "Pay-at- the-Counter"). The product does not meet the requirements for high-volume, semi-attended (e.g. "Pay-at- the-Table") or unattended environments (e.g. kiosk/parking).

We have also been requesting, since Q1 2017, that EMV and P2PE be certified on the Ingenico iSMP4 and Verifone MX 915/925 series of devices. The iSMP4 provides wireless capabilities suitable for "Pay-at-the- Table" and other semi-attended environments while the Verifone MX 915/925 serves high-volume, semi- attended and unattended environments.

Please see the table below for a list of customers either impacted by imposed, non-compliance card brand assessments or the risk of penalties as a result of operating without certified EMV and P2PE solutions. The table also includes merchants who have communicated they must switch payment processors because of EMV.

SkyTouch $10,000+ SkyTouch began forcing their approximately 500 customers to pay a monthly "Non-EMV Compliance Fee", of $20 per month, in 2017. SkyTouch only waived this penalty for customers using an EMV certified product, which CardConnect still has not delivered after 2 years of requests.
Oracle (400+ MICROS merchants) $200,000+ Oracle has communicated, on numerous occasions, that they will begin imposing monthly penalties on their MICROS merchant base, using Shift4, in 2019 if CardConnect doesn't certify the Verifone 915/925 for EMV.
XPIENT (200+ merchants) Lost Revenue XPIENT, and their base of merchants operating quick service restaurants, are demanding EMV support for the Verifone MX 915, which CardConnect has not delivered. This has resulted in merchants and new sales being lost to other payment processors.
MobileBytes $10,000+ MobileBytes imposed "Non-EMV Compliance Fees" on their customers in 2017 and continuing into 2018.
Various Merchants $2,000,000++ Many additional active merchants are at risk of similar non-compliance assessments. We are compiling this information to share in the coming weeks.
Caesars (2017-2018) $85,000++ MasterCard imposed non-EMV compliance penalties on Caesars beginning in 2017 and continuing during scheduled audits.
HMS Host (all locations) Unknown, pending 2017 Audit HMS Host has communicated their concern of future Non-EMV assessments.
Various Merchants Unknown Numerous merchants are requesting a certified WorldPay (Vantiv) EMV solution. Many Merchants will have to switch absent EMV certification.

There are many more merchants, such as those encompassing the entire Agilysys customer base (thousands), who are at risk of non-compliance assessments and/or switching to outside processors due to CardConnect's failure to deliver EMV and P2PE solutions. We are gathering data to support this at present.

The above issues do not include damages that are not fully quantifiable at this time:

  • Lost Business. Shift4 has been unable to pursue EMV-required industries, such as quick service restaurants (QSR) and others, for nearly four years because of CardConnect's inability to deliver certified EMV and P2PE solutions.

  • Reputational Harm. Shift4's brand and merchant relationships have been damaged due to the EMV-imposed penalties and lack of compliant solutions.
