I may have confused that a bit.
What I meant was, plan one includes all salaries and some bonus compensation. Assuming
that they would qualify for whatever the earn-out is. I am not sure that is a smart play. I don’t
think that anyone would qualify.
The second plan will be something a bit more aggressive from a salary comp perspective. No
bonus or earn-out. The earn-out would be purchased by Shift4.

Plan 1 - All current employees receive salary as they are today. Additional compensation would
be tied to the numbers that FPOS generates for Card Connect. The earn out plan should
produce a larger payout. This plan is predicated on the numbers.
Plan 2 - Shift4 purchases the rights to the "earn out". Employees get a flat 15% raise. Potentially
even a signing bonus. This plan can be presented in a few different ways.
