First, that drop off in rev/profit is almost entirely North
American Bancard. It was around 6.5-7M in rev. We knew

included in any of the baseline revenue or purchase price
calculations.
Second, the two large direct deals, that we discussed with

think was near $7M. This was per their TS, long
before we began discussions with Card
Connect, so it was not included in any ARR

and known on both sides.
I think our baseline revenue and net was up
slightly for what we expected in the 2H of the
