First, welcome back and I hope your transition back has been easy. My door is always open to you.

Second, I don't know what you mean about a "unilateral" decision. I've been talking to your staff about these
increases for several weeks, if not longer.

My team assures me that they have been keeping your team aware of these changes, I will address that
internally, but that doesn't change the fact that these cost increases are legitimate and allowable under our
agreement. We have already had to pay the networks the increased fees associated with your traffic, and it has
been extremely frustrating to jump through hoops to get reimbursed for costs Shift4 already incurred.

Card brands regularly increase their fees, both in terms of existing fees and new fees, and those costs are
permissible pass-through costs. Please tell me what fees you object to, and I will consider removing them,
but there have not been any changes to "the terms of our agreement" to my knowledge.

Third, I can't just remove fees in 3 days. Any fee change must be made at the beginning of a month or
quarter. I have no problem discussing each fee with you, but at this point the first time those changes could be
made is January 1, 2018.

I understand that your staff hasn't answered you, but that is not my problem. I would never have
committed to an eight-year deal without any ability to account for changes in card brand fees or other third-
party costs, and I just cannot understand why you are so upset about covering the real costs charged for
processing your accounts. In particular, any fees that were incurred after your acquisition closed are fees that
First Data will be collecting already either by means of higher interchange or passing them on to their ISOs or
merchants like you do every day.

I am always willing to find reasonable solutions, but baseless threats will not make this go any faster.
