Subject: RE: 8.5 x 11 FPOS Options

Jared and JD,
If you need to respond to CC on this issue, you can simply state the following:
1. Shift4 is only willing to provide the customer with a "Full POS' system if they are willing to sign
an agreement that includes a 3.5 year term with a $12.95 per month customer support fee.
(The language about Shift4 being a reseller - which we are - is present)
If the customer is not willing to do so, Shift4 will not provide a "Full POS" system.
2. Shift4 is willing to provide the customer with a "Turnkey POS' system with the Card Connect IDG
but (a) that system will provide revenue to Shift4 and (b) the customer must be willing to sign
an agreement that includes a 3.5 year term with a $12.95 per month customer support fee.
(The language about Shif4 being a reseller - which we are - is present)
If the customer is not willing to do so, Shift4 will not provide a "Turnkey POS" system.
3. If the customer is interested in another POS option, we would be happy to work with the
customer and the Card Connect IDG to effect an integration to that system.
The bottom line is that we are not going to provide a system to any customer in which we generate no
revenue and have a significant cost - unless they are prepared to meet the requirements we have always
had for such customers - a long term contract with a monthly support fee.
And as I have said before, we have no interest in providing our "Full POS' to a customer who is not
willing to meet the same terms that all of the other customers who receive that system must meet. It
would make no sense from a business perspective.

Attached is the revised analysis, which includes your additional terms.

As we discussed, based on the way the terms are positioned, it does not appear that
you an: option for merchants that route their transactions through Card Connect. I
also noted that our agreement requires that you allow merchants to use the full POS
with Card Connect processing without paying the monthly support or gateway fees.
Do you have different option for merchants that process with Card Connect?

Thanks!

Jared -

Attached is a draft of the language we discussed. As we discussed, Sections 1(a) and (b) address updates to products included in
the reseller arrangement and Section 2 contemplates additional order forms for to-be-developed products that will be covered by
terms goveming the reseller products (pricing for reseller products would not apply until an order form is executed).

Let me know your thoughts.

If a merchant processing on Card Connect is using an ineligible system (i.e., full POS), they just wouldn't receive support for the
system. . . I think we're saying the same thing.

The POS discussion was great. We just need to be clear in 3.1.1 that if a merchant is on an ineligible POS, they get no support
at al I. It is not an instance of best efforts anywhere - right?
