I am following up with you regarding Card Connect’s actions in the market place. As we have previously discussed, they
have contacted Mastercard issuers and have provided them with a proposal to switch the processing of the issuer’s
portfolios to Card Connect. During my conversations with those issuers, they have all expressed that they do not have a

The issuers are looking to obtain the original contracts/agreements for their specific BINs that were originally setup by
UBC, as they believe that those contracts will prevent Card Connect from onboarding their portfolios. Can you obtain

• Amalgamated Bank
• M&T Bank
• Commerce Bank
I have also been contacted by Card Connect’s General Counsel, Joel Sherwin, and they are requesting that Mastercard’s
Business Conduct team become involved regarding our Cease & Desist communications. (See email below) We are not in
a position as Mastercard to become involved in this matter.
Mastercard has been extremely supportive of UBC and its subsequent iterations. From a Mastercard perspective we have
always considered UBC/Shift4 as a single entity. We have supported you by:
• Giving you early access to our technology.
• Allowing you to process for other vendor’s customers.
We are hopeful that you can obtain the original contracts for the three issuers listed above and that will resolve this
matter.
